THE CONSTITUTION AND BYLAWS FOR THE

YOUNGSTOWN DISTRICT SCHOLASTIC SOCCER COACHES ASSOCIATION

ARTICLE I - NAME AND LOCATION

1.01 Name..  The name of the organization shall be the Youngstown District Scholastic Soccer Coaches Association (YDSSCA).  The association is a non-profit association.  The association is an affiliate of the Ohio Scholastic Soccer Coaches Association (OSSCA).  The Youngstown District includes counties throughout the Mahoning Valley.

 

1.02 Location..  The location and mailing address of the YDSSCA in the State of Ohio is the home address of the recording secretary/treasurer.

 

ARTICLE II - PURPOSES

2.01 Purposes..  The YDSSCA was formed to:

                a. promote scholastic soccer in the Youngstown District.

                b. co-operate with and assist the Ohio High School Athletic Association and Ohio Scholastic Soccer    Coaches Association with the development of soccer at all levels. 

                c. sponsor and organize the Youngstown District Scholastic Soccer League.

                d. sponsor and organize high school senior all-star competition.

                e. sponsor, organize and recognize the achievement of scholastic soccer players. 

                f. recognize the achievements of scholastic soccer coaches. 

 

ARTICLE III - MEMBERSHIP

3.01 Classes of Membership and Qualifications.  Any persons engaged in the coaching of scholastic soccer or any person interested in the game of soccer and desiring affiliation with the purposes of the YDSSCA is eligible for membership. There shall be the following two (2) classes of members: 

 

                        a. Active member.  Any individual actively engaged in coaching scholastic soccer in the Youngstown   District (head coach or assistant coach), and desiring affiliation with the purposes of the YDSSCA may become an active member of the YDSSCA upon payment of the annual dues set by the Executive Board.  Membership is good for one year. Active Members having paid their dues and in good standing shall be eligible to vote at meetings of the Members and to hold office. Each school will be entitled to one vote for one boys varsity team and one vote for one girls varsity team.

 

**Note - Terminology: Scholastic Soccer Coach is the coach of a varsity school program recognized by the OHSAA. 

 

                        b. Associate Member.  Any individual interested in scholastic soccer in Ohio and desiring affiliation with the purposes of the YDSSCA may become an Associate Member of YDSSCA upon payment of the annual dues set by the Executive Board. Associate Members are not eligible to vote or hold office, but may serve on committees. 

 

                        c. Dues.  The Executive Board shall determine from time to time the amount of annual membership dues payable by the date determined by the Executive Board on a year to year basis based on that calendar year.  The dues shall be as follows:

                                   
Active Membership:                 $60.00 USC Affiliation

                                                                                           $20.00 OSSCA Affiliation

                                                                                      $25.00 YDSSCA Dues

                                                                           $105.00 Total dues

 

Associate/Asst membership:      $15.00 YDSSCA Dues

 

                                **Note - You cannot vote if dues are not paid.  (Amendment added 4/11/2002)

 

3.03 Benefits of Membership.  The benefits of Active Membership are:

            a. Full voting rights

                b. Receiving the coaches directory

                c. Eligible for Coach of the Year

                d. May hold office

 

The benefits of Active Membership for the varsity teams are:

                a. Eligible for local top ten designation

                b. Eligible for Division honors, Youngstown district honors and nomination to the State Team

                c. Eligible to play in the Youngstown District Senior All-Star Game

              d. Eligible for Youngstown District Senior Scholarship

 

The benefits of Associate membership are:

                a. Receiving the coaches directory

                b. May sit on committees

                c. Eligible for Hall of Fame as a Contributor (to soccer)

***Note: ALL benefits of coaches, teams and individual team members are based on if the Active Member (Coach, Assistant Coach, etc.) is in good standing with the association.

 

 

ARTICLE IV - MEETINGS

4.01 Types of Meetings.

 

                        a. Meetings of the Executive Board shall be limited to Executive Board members. 

                b. Meetings of the general membership shall include all Members of the Association. 

 

4.02 Meetings May Be Called..  Annual meetings of the Members shall be held at such time and place as the Executive Board may determine.  At least one meeting will be held at the end of the soccer season prior to the state tournament.  Regular meetings of the Executive Board may be called from time to time.  A special meeting of the Members may be called at any time by the President, the Executive Board members or by petition of ten per cent (10%) or more of those Members entitled to vote at such meetings.  Special meetings of the Executive Board can be called by the President or by one third (33%) of all officers then in office. Meetings of the Members may be held at any location within the Youngstown District. 

 

4.03 Notice.  Written notice of the time and place of all such meetings of the Members shall be delivered personally or email. Such notices may be under separate cover or by inclusion in any other mailing or publication of the YDSSCA to each Member.  Notice must be sent at least ten (10) days prior to the date of the meeting and, in the case of a special meeting, shall specify the general nature of the business to be conducted.

 

4.04 Quorum.  Twenty-five percent (25%) of Members entitled to vote, present in person or by proxy, shall constitute a quorum for the transaction of business at any meeting of the Members, unless a greater proportion is specifically required by applicable law or by these Bylaws.  The authority to cast a proxy vote may only be given to an Active Member.  The Member casting a proxy vote must have authorization to cast a proxy vote in writing from the person he/she is voting for.

 

4.05 Voting.  There will only be allowed one vote per school per boys varsity team and one vote per school per girls varsity team.  The vote shall be cast in person on any matter submitted to a vote of the Members.  The acts approved by the affirmative vote of a majority of the Members present at meeting at which a quorum is present, shall be the acts of the Members, unless a greater proportion of affirmative votes is required by applicable law or by these Bylaws. 

 

4.06 Attendance.  The Executive Board will call three (3) Association Meetings per year as deemed necessary. A minimum of one Association Member from each District must attend two-thirds (⅔) of those meetings called by the Executive Board in order to avoid loss of specific membership privileges for that team.  Failure to meet these minimum attendance requirements shall result in a $100 fine levied upon the head coach. Failure to remit such fine(s) to the Treasurer, YDSSCA within ten (10) business days following notification of such fine will result in loss of voting and nominating privileges for one (1) calendar year, beginning with the date of failure to pay the fine. A coach who fails to make proper payment of such fine(s) is not a YDSSCA Member in good standing.  (Amendment added 8-1-14)

 

ARTICLE V - OFFICERS

5.01 Powers The business and affairs of the YDSSCA shall be managed by the Executive Board.  In addition to the powers and authority expressly granted by these Bylaws, the Executive Board may exercise all powers of the YDSSCA and do all lawful acts and things that are not prohibited by applicable laws or these Bylaws. 

 

5.02 Composition.  The officers of the Executive Board shall be:

a. President

b. Immediate Past President

c. Vice President Boys

d. Vice President Girls

e. Secretary

f. treasurer

g. Vice President of Banquet

 

All the above positions shall be placed on the YDSSCA Executive Board.  All Executive Board members shall be Members in good standing of the organization.  The membership of the Executive Board shall be the association officers and other committee chairpersons as deemed necessary by the majority of the Executive Board. 

 

5.03 Nomination of Officers.  Prior to the annual meeting at the end of the soccer season, a slate of officers will be nominated by the Executive Board.  Additional nominations may be made by the General Membership by notifying the Secretary of your nominee at least twenty-one (21) days prior to the yearend meeting.  Such notification shall be made by mail or in person and shall be delivered in writing.  Candidates will be nominated for the positions of President, Vice President Boys, Vice President Girls, Secretary and Treasurer.  These positions will be voted on at the upcoming annual meeting of the Members.  The names of such candidates shall be filed with the Secretary for inclusion with the notice to the Members of the Annual Meeting of the Members. A member being nominated for the office of President must have been a current or former board member to be eligible to hold the office of President.

 

5.04 Quorum.  A majority of the officers then in office shall constitute a quorum for the transaction of business at any meeting of the Executive Board unless a greater proportion is specifically required by applicable law or by these Bylaws.

 

5.05 Voting.  Each officer shall be entitled to one (1) vote on any matter submitted to a vote of the Executive Board.  The acts approved by the affirmative vote of a majority of Executive Board members present at a meeting at which a quorum is present shall be the acts of the Executive Board, unless a greater proportion of affirmative votes is required by applicable laws or these Bylaws.

 

5.06 Removal of Officers.  Any officer whose business, profession or other activities or interests are detrimental to the interests of the YDSSCA, or otherwise tend to discredit the YDSSCA, may, upon reasonable notice and opportunity to be heard, be removed with or without cause as an officer by the affirmative vote of at least two-thirds (67%) of all officers present at any meeting of the Executive Board, provided that notice of the proposed removal is contained in the notice of such meeting. 

 

5.07 Consent of Officers in Lieu of Meeting.  Any action which may be taken at a meeting of the Executive Board, may be taken without a meeting if a consent thereto in writing, setting forth the action so taken, shall be signed by all of the officers and is subsequently filed with the Secretary of the YDSSCA. 

 

ARTICLE VI - DUTIES OF OFFICERS

6.01 Officers Generally.  The Executive Board may deem it necessary from time to time to include other officer positions as they feel is desirable.  No other officer other than those listed in 5.02 above need be a member of the Executive Board.  In addition to the powers and duties set forth in these Bylaws, each officer shall have such powers and duties as are customarily associated with such office and as the Executive Board may determine by resolution.  All officers elected by the Members shall take office immediately after that year’s banquet and qualification have been met and serve for a term of two (2) years or until their successors are elected and have qualified.  On odd numbered years, the President, Vice President Girls and Treasurer will be elected.  On even numbered years, the Vice President Boys and Secretary will be elected. 

The President shall fill any vacancies by appointment for the remainder of the unexpired term.  Executive Board members shall consider the proposed budget of the organization will work with the area Officials Association to promote rules interpretation and clinics for coaches, referees and players.  The Executive Board shall designate such State representatives as may be necessary to the OSSCA.  

 

6.02 President.  The president shall be the chief executive officer of the YDSSCA.  To the extent such authority is delegated by the Executive Board, the President shall manage the business and affairs of the YDSSCA, subject to the policies and directions of the Executive Board.  The President shall be the official representative of the YDSSCA and shall be a member ex-officio of all committees. The President shall preside at meetings of the Executive Board.  The President shall chair all regular and special meetings of the general membership.. 

 

6.03 Past President.  The Past President shall act as an advisor to the current Executive Board. 

 

6.04 Vice President Boys.  The Vice President Boys shall have those duties and responsibilities assigned by the President or the Executive Board and shall chair such meetings that the President cannot attend. 

 

6.05 Vice President Girls.  The Vice President Girls shall have those duties and responsibilities assigned by the President or the executive Board. 

 

6.06- Secretary The Secretary shall keep the minutes of all meetings of the Executive Board and the Members shall have charge and custody of the records of the YDSSCA and shall have other duties and responsibilities as are assigned by the President and the Executive Board.  The Secretary shall keep accurate minutes of regular and special meetings for both Members and the Executive Board.  The Secretary shall maintain historical records of the YDSSCA

 

6.07 Treasurer/ Communications Officer.  Treasurer /Communications officer shall have charge and custody of all funds of the YDSSCA, shall maintain an accurate accounting system, shall present financial reports to the Executive Board and shall have those other duties and responsibilities as are assigned by the President or the Executive Board.  The treasurer/communication officer shall serve as administrator of the financial functions of the YDSSCA.  The treasurer /Communications officer shall submit a proposed budget to the Executive Board for their approval.  The treasurer/communications officer is responsible to bill each member for the appropriate dues on or before August 1st each year.  The treasurer /communications officer shall pay such bills as are authorized by the Executive Board.  All checks that exceed $100 must bear the signature of the Treasurer/communications officer and one other member of the Executive Board.

 

 

6.08 Vice President of Banquet.  The Vice President of banquet shall have those responsibilities and duties assigned by the president or the executive board.

 

 

6.09 Duties of Other Executive Board Members.  They shall assist the President in any duties or responsibilities of the YDSSCA.  These duties will be assigned by the President. 

 

6.10 Delegation of Duties.  In the absence of any officer or for any other reason that the Executive Board may deem sufficient, the Executive Board may delegate, for the time being, the powers and duties, or any of them, of such officer to any other officer or other person that the Executive Board may select. 

 

ARTICLE VII - VOTING PROCEDURES FOR AWARDS

7.01 Voting for Awards.  The voting procedures for awards shall be submitted to the YDSSCA President and the Executive Board for approval.  After approval the procedures shall be sent to the general membership of the YDSSCA.. 

 

ARTICLE VIII - COMMITTEES

8.01 Standing Committees.  The Executive Board may appoint such committees of the Executive Board (and in each case the Chairman thereof) as it deems necessary or desirable.  The Executive Board may delegate such authority to a Standing Committee as it deems appropriate and is not prohibited by applicable law.  All Standing Committees and their members shall serve at the discretion of the Executive Board, and such committees may be disbanded, or member thereof removed, at any time by the Executive Board with or without cause. 

 

ARTICLE IX - INDEMNIFICATION

9.01 Right to Indemnification.  The YDSSCA shall indemnify any person who was or is a party, or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal or administrative, by reason of the fact that such person is or was an officer of the YDSSCA against expenses (including attorney’s fees), judgments, fines, excise taxes and amounts paid in settlement actually and proceeding to the extent that such person is not insured or otherwise indemnified and the power to so indemnify has been or may be granted by statute.  For this purpose the Executive Board may, and on request of any such person shall be required to determine in each case whether the applicable standards in any such statute have been met, or such determination shall be made by independent legal counsel if the Executive Board so directs or if the Executive Board is not empowered by statute to make such determination. 

 

9.02 Indemnification Not Exclusive.  The foregoing indemnification shall not be deemed exclusive of any other rights to which one indemnified may be entitled, both as to action in such person’s official capacity while holding such office, and shall inure to the benefit of the heirs, executors and administrators of any such person. 

 

9.03 Insurance and Other Indemnification.  The Executive Board shall have the power to (1) purchase and maintain, at the YDSSCA’s expense, insurance on behalf of the YDSSCA and on behalf of others to the extent that power to do so had been or may be granted by statute and (2) give other indemnification to the extent not prohibited by law.  Fidelity Bonds - The President and Treasurer shall be bonded at such time as the Executive Board deems it necessary and feasible against loss of money.  Liability Bonds - The association shall have insurance against general liability and event liability, such as but not limited to the Senior All-Star Game.

 

ARTICLE X - AMENDMENTS OF BYLAWS

10.01 Amendments.  These Bylaws may be altered, amended or repealed, or new Bylaws may be adopted by the Members at any General Membership meeting by the affirmative vote of two-thirds (67%) of the Members entitled to vote and present, in person at the general meeting of the Members; provided, however, that any amendments proposed to be acted upon at the meeting of the Members be submitted in writing to the Executive Board at least thirty (30) days prior to the meeting of the Members.  The President shall include the proposed amendment on the agenda at the next general meeting.
